“Candidate” refers to an individual seeking employment or engagement through our Services.
“Client” refers to a company, organization, or individual seeking to hire or engage Candidates through our Services.
“User” or “You” refers to any visitor to the Site, whether a Candidate, Client, or other viewer.

3. Services Provided

Espire Consultants operates as a staffing and recruitment agency. Our Services include, but are not limited to:

Sourcing, screening, and presenting Candidates to Clients.
Facilitating the interview and hiring process between Candidates and Clients.
Providing information and resources related to career development and hiring.
Managing payroll and benefits for placed personnel (if applicable).

We act as an intermediary between Candidates and Clients. We are not a party to any employment or independent contractor agreement最终 established between a Candidate and a Client.

4. User Accounts and Responsibilities

Account Creation: To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Account Security: You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Eligibility: By using our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract.

5. Candidate Terms

Profile Accuracy: You represent and warrant that all information provided in your profile, resume, or application (including skills, qualifications, and work history) is true, accurate, and complete. You will not misrepresent your identity or qualifications.
Authorization: You confirm that you are authorized to work in the location of any position you apply for and that you are not subject to any non-compete or other contractual obligations that would prevent you from accepting a position.
No Guarantee: You acknowledge that we make no guarantee of securing employment or any specific number of interviews for you.

6. Client Terms

Job Postings: Clients are responsible for the accuracy and legality of all job descriptions, requirements, and other information provided to us for posting.
Hiring Decisions: Clients are solely responsible for screening, interviewing, verifying the credentials of, and making final hiring decisions regarding any Candidate we refer. We do not guarantee the suitability, availability, or accuracy of a Candidate’s information.
Fees: Client agrees to pay all applicable fees as outlined in a separate fee agreement or as presented at the time of placement. Terms regarding replacement guarantees, if any, will be specified in a separate agreement.

7. Intellectual Property

Our Content: The Site, its original content, features, functionality, logo, and design are owned by Espire Consultants and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, distribute, modify, or create derivative works of our content without our express written permission.
Your Content: By submitting information, resumes, or other materials (“User Content”) to us, you grant Espire Consultants a worldwide, royalty-free, non-exclusive license to use, reproduce, distribute, and display that User Content solely for the purpose of providing the Services (e.g., sharing your resume with a Client for a specific job opening).

8. Disclaimer of Warranties and Limitation of Liability

“As Is” Service: THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED.
No Employment Guarantee: We do not guarantee that Candidates will find a suitable position or that Clients will find a suitable Candidate.
Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, ESPIRE CONSULTANTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Espire Consultants and its licensors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site or Services.
